William Lin counsels clients on strategic business transactions, corporate governance, mergers and acquisitions, investments, securities regulations compliance, and foreign and domestic transactional matters with a focus on China.  

Corporate Law 
William advises individuals and organizations, from startups to large, publicly-traded companies on corporate and commercial law matters, including:

  • Contract negotiations;
  • Drafting and interpretation of business agreements;
  • Corporate formation and record-keeping;
  • Board and shareholder governance;
  • Licensing and distribution transactions; and
  • Various regulatory compliance issues.

He also acts as outside general counsel for privately-held companies.

Mergers & Acquisitions and International Investments
William regularly counsels investors and companies in significant business transactions, such as mergers, asset purchase and sale transactions, commercial finance transactions, commercial real estate investments, public and private securities offerings and strategic investments. He also has extensive experience advising clients on inbound and outbound foreign investments and transactions, particularly as it relates to China.

Securities Regulation Compliance 
William advises private and public companies on compliance with state and federal securities regulations. He also counsels public companies on compliance with SEC reporting requirements including preparation of their annual reports, proxy statements, Forms 10-K, 10-Q and 8-K, and press releases. William routinely provides management, boards and board committees with detailed analysis on issues relating to corporate governance. He also helps private and public companies facilitate restricted/affiliate stock transactions and helps insiders of public companies comply with regulations and rules of the SEC.

Aviation
William counsels domestic and foreign aircraft owners and operators in the purchase, sale, lease and ownership of aircraft, including negotiating and documenting financing arrangements, purchase and sale agreements, leases, and aircraft management arrangements.
