Michael Parise counsels clients in commercial law, mergers and acquisitions, complex loan transactions, real estate, bankruptcy, loan restructuring, maritime vessel financing, business litigation, foreclosures and litigation under the Uniform Commercial Code. 

KeyBank, Northrim Bank, First National Bank Alaska, Denali State Bank, Union Bank, Royal Bank of Canada, Australia and New Zealand Banking Group Limited, and JP Morgan Bank Europe Limited turn to Michael for counsel on matters related to complex commercial loans, mergers and acquisitions financing, revolving credit lines, real estate, loan workouts, bankruptcies and creditors’ rights.

He also represents parties in negotiations and litigation concerning oil and gas exploration financing, mining lease and royalty agreements, and timber sale and logging contracts.

Michael advises fisheries and other participants in the seafood industry on corporate and maritime vessel financing, North Pacific fisheries catch allocations and other regulations advancing species use and sustainability, licensing and distribution transactions, fish and wildlife issues and other commercial matters. He also regularly advises financial institutions with regard to fisheries loans.

    Served as local counsel for Horizon Lines, Inc. in its $75M term loan for the purchase of two D-7 class containerships.
  • Financing of Alaska Company for Acquisition of Peak Oilfield Service Company
    Represented a National Bank in performing due diligence review and drafting transactional documents, for a credit facility financing a native corporation's acquisition of Peak Oilfield Service Company.
  • National Bank Revolving Credit Facility
    Represented a national bank on a revolving credit facility secured by a portfolio of Alaska, Washington, Arizona and Texas residential apartment buildings.
  • Gruma International Foods, S.A. Acquisition of Solntse Mexico
    Represented Gruma International Foods with respect to its acquisition of all of the stock of a privately held company, Solntse Mexico, doing business in the Russian Federation.
  • Canadian Investment Fund Financing of Alaskan Oil and Gas Exploration Company
    Represented Canadian investment fund with respect to its multi-million dollar financing of an energy corporation for oil and gas exploration in Alaska secured by oil and gas tax credits.
  • Renaissance Minerals Ltd. Acquisition and Financing of Alaska Mining Company
    Represented Renaissance Minerals Limited (Australia) and Black Peak LLC (Alaska) with respect to the Alaska transactional documents and due diligence review for the sale and acquisition of all the membership interests in the Alaska entity.
  • Alaska Maritime Documentation, Inc. Marine Mortgages and Vessel Documentation
    Served as counsel to Alaska Maritime Documentation, Inc. with respect to preferred marine mortgages and vessel documentation.
  • A-1 Timber Consultants Inc. Timber Sale Agreements
    Served as counsel to A-1 Timber Consultants Inc., with respect to timber sale agreements.
  • Gladstone Capital Sale of Assets of Spirit of Alaska Radio to Ohana Media Group
    Represented lender Gladstone Capital in the sale of radio station assets out of the Spirit of Alaska Radio federal court receivership proceeding, and in closing the sale of the radio station assets to Ohana Media Group for $1.3M.
  • Brinker International Payroll Company, LP v. Duke Investments, LLC
    Case No. 3:12-cv-00033U.S. District Court, District of AlaskaAnchorage, Alaska
    Represented Brinker International, owner/franchisor of the Chili's restaurant brand, in a lawsuit seeking equitable relief requiring Duke Investments to cease all use of the Chili's brand for its ongoing failure to pay franchise fees. 
  • Royal Bank of Canada In re Prism Helicopters Inc.
    Advised Royal Bank of Canada with respect to a Canadian helicopter company, with affiliate companies based in Alaska, in multiple Canadian and U.S. bankruptcy matters.

    Served as counsel for creditor oil service company in the bankruptcy reorganization of an oil and gas company.
  • In re Pacific Forest Products
    Served as debtor’s counsel for Chapter 11 of sawmill.
  • In re Wave Wholesale
    Served as secured lender’s counsel in Chapter 11 of food wholesale distributor in rural Alaska.
  • In re Glacier Bay Airways
    Served as counsel for creditor aircraft lender in air taxi Chapter 11 case.
  • In re Rocky Mountain Helicopters
    Served as counsel for timber owner in Chapter 11 of logging company.
  • In re MarkAir
    Served as counsel for flight attendants union.
  • In re Inlet Fisheries, Inc.
    Served as bankruptcy counsel for seafood processor in reorganization under Chapter 11.

    Served as counsel for creditor aircraft lender.

    Represented national bank lender in negotiating and drafting documentation for Construction and Term Loan financing for a quick turnaround rental car facility located at the Bismarck, North Dakota Airport.

    Represented National Bank regarding a loan for Business Park acquisition of the commercial property known as the Twin Lakes Technological Park located in Boulder, Colorado.
  • National Bank Financing of Acquisition and Construction of FedEx Ground Transportation Package-Handling Facility
    Represented National Bank in financing acquisition and construction of a FedEx Ground Transportation package-handling facility in Fairbanks, Alaska.
  • Financing to Alaska-based Service Provider for Oil and Gas Equipment Lease Financing
    Advice and documentation for a National Bank's complex master line of credit with multiple interest rate options to an Alaska-based Service Provider for its acquisition and leasing of equipment to oil and gas exploration and production companies operating on the North Slope of Alaska.
  • National Bank Financing for Denali Tower Office Building Purchase
    Represented a national bank in performing a due diligence review and drafting transaction documents for bank financing in a borrower's purchase of an Anchorage office building.
  • National Bank Lake Otis Professional Center Acquisition Financing
    Represented national bank lender in negotiating and drafting documentation for the borrower’s acquisition of a medical office building and surgery facility located in Anchorage, Alaska, a significant purchase in the Anchorage commercial real estate market.

    Advised Interntional Banking and Financial Services Company on multi-million dollar credit facility to an Alaska Regional Native Corporation, performing due diligence review and drafting the transactional documents.
  • J.F. Lehman & Company Acquisition of Ravn Air Group, Inc.
    Served as local Alaska Counsel to J.F. Lehman & Company in negotiating and drafting documentation for its acquisition and financing of Ravn Air Group, Inc., a commercial passenger and cargo airline operating in Alaska.
