Rachel Greenlee advises clients in a diverse pool of corporate-focused matters from formation through exit, with an emphasis on corporate governance and venture capital financing. She represents entrepreneurs, startups, and investors in connection with emerging company transactional matters, and advises on mergers and acquisitions. She also devotes a significant portion of her practice to advising clients in the life sciences space.  

Her experience includes assisting clients with incorporation and formation matters, negotiating and documenting seed, angel, and venture capital funding through convertible debt and the sale of common and preferred stock, advising companies on general contract drafting and negotiation, as well as drafting and negotiation of clinical trial and sponsored research agreements.

    Advised Lumedic, a next-generation revenue cycle management platform based on blockchain technology, in its acquisition by Providence St. Joseph Health, one of the nation's largest health systems.
  • Red Tricycle Inc. Sale to Tinybeans Group Limited
    Represented Red Tricycle in its sale to Tinybeans which is an Australian public company.
  • Evrnu, SPC Series A Preferred Stock Financing
    We represented Evrnu in its $10.6 million Series A financing which included impact investors from all over the world.
  • iFoodDecisionsSciences, Inc. Series Seed Preferred Stock Financing
    Represented iFood in its $10 million Series Seed financing. iFood develops food safety software products for the agriculture industry.
  • Give InKind, Inc. Convertible Debt Financing
    Represented Give InKind in its convertible debt financing to enable Give InKind to expand its service to help people help others in need.
