We represented Hesco Bastion Ltd., a UK-based manufacturer of rapidly deployable protective barrier systems and its U.S, affiliate, Hesco Bastion, Inc. (collectively, “Hesco”), in the simultaneous (i) acquisition of a controlling stake in Reed Composite Solutions, LLC (“Reed”), a Washington-based manufacturer of body armor and protective barriers; and (ii) extension of credit to Reed by Hesco. The transaction was complicated by issues of export controls and the need for compliance with regulations promulgated by the U.S. Department of the Treasury and the Committee on Foreign Investment in the United States. We served as Hesco’s primary counsel in this transaction, working closely with Hesco’s internal professionals to negotiate the transaction and draft the documentation relating to our client’s investment.
