Areas of Practice
Todd Beutler’s practice is international in scope, focused on sophisticated tax and business planning for a broad range of public and private companies, family businesses and high net worth individuals in a wide variety of business and commercial transactions, with extensive experience in mergers, acquisitions and dispositions, public offerings, venture capital financings, joint ventures, strategic alliances, reorganization and restructuring of business entities, bankruptcies and workouts, and tax controversy and litigation. Todd regularly establishes and advises private foundations and public charities and is frequently asked to represent fiduciaries and beneficiaries in complex trust disputes and estate contests. In addition to structuring transactions and operations, Todd represents individuals with respect to business succession planning, estate planning, and other private client matters.
Todd is an active member of the International Fiscal Association, having served as the U.S. National Reporter in 2002. In addition to service in other professional and civic organizations, Todd provides significant pro bono assistance to many exempt organizations and was a recipient of the Winston & Strawn Pro Bono Award in 2002.
Prior to joining the Firm in 2006, he worked with international law firms, principally Winston & Strawn. After graduation from law school, he served as law clerk to the Honorable William A. Clark, Chief Judge of the United States Bankruptcy Court for the Southern District of Ohio.

- Representation of a foreign public company in its over $1 billion financing of the acquisition of a U.S. company and the underlying operations.
- Representation of a foreign trading company in restructuring its European and Asian operations to lower the effective tax rate for U.S. investors.
- Representation of foreign developer of internet products in structuring U.S. operations and deferred compensation arrangements.
- Representation of a U.S. and foreign companies in structuring mergers, acquisitions, dispositions and joint ventures in Asia, North and Latin America, Europe and Australia/New Zealand.
- Representation of U.S. and foreign public and private companies in international restructurings designed to lower their overall effective tax rate.
- Representation of U.S. technology and sciences companies in structuring foreign research and development operations.
- Representation of foreign trust companies and private banks in connection with U.S. investments for foreign clients and the U.S. information reporting and documentation rules with respect to withholding and backup withholding taxes.
- Counseling U.S. public and private companies on contract manufacturing and sourcing products in Asia.
- Advising investors in private equity firms, venture capital funds and hedge funds, and structuring investments for such funds and public pension funds.
- Advising families and other private clients on business succession and estate planning matters.
- Successfully defending a top ten private school’s right to charitable bequests in contested state court matters.
- Successfully defending trustees from challenges to trust administration matters, distributions to beneficiaries and investment decisions.
